Product, Pricing and Packaging

TLC Electronics, Inc. (TLC) makes every effort to provide current and accurate information relating to the products, prices and packaging offered, but does not guarantee the accuracy of any such information. Products may become obsolete, prices are subject to change, and packaging may vary at any time. All prices are reflected in U.S. dollars. Method of Payment

Payment for domestic (U.S.) are accepted via approved Visa, MasterCard, American Express, PayPal, prepayment, or open account.

Payments for international (outside of the U.S.) orders are accepted via approved Visa, MasterCard or American Express account.

Open account status is granted to companies, institutions and government agencies after credit references have been reviewed and approved to TLC’s satisfaction. Established businesses with at least three credit references and a banking history are eligible to apply for open account terms. Standard open account terms are Net 30 Days. To open an account, contact your TLC sales representative.

Credit card payments are not accepted for accounts with open credit status without written, preapproval from TLC Electronics.

For credit card orders, the credit card will be billed at the time of shipment. Credit cards are processed through a secured, third party provider.

For preapproved wire transfer payments, a non-refundable processing fee of $40.00 (U.S.) will be added to the invoice. All additional fees associated with the shipment are also the responsibility of the buyer,

Sales Tax

Prices shown do not include any federal, state or local taxes, or any other taxes or charges imposed by any government authority, including, without limitation, sales, use, excise and value-added or similar taxes. Where applicable, taxes will be on a separate line item and paid by the customer. TLC Electronics will charge sales tax unless a valid sales tax certificate is on file with TLC. If a customer provides a Tax Exempt certificate that is not accepted by any government entity, and TLC is required to pay tax on customers purchase, Said customer will be required to reimburse TLC Electronics for the tax amount.

Terms

For preapproved open term accounts, standard terms of payment are net 30 days. Past due accounts are subject to a late payment fee as allowed by applicable law. Credit terms may be revoked at any time at TLC’s discretion. Unless otherwise quoted, all shipments are F.O.B. TLC’s warehouse in St. Paul, Minnesota. In all cases, the title shall pass when the carrier accepts the material for shipment. Therefore, all risk of loss or damage shall be incumbent upon the customer.

International Orders

In addition to the United States and its territories, TLC accepts international orders. All orders of international origin are exported from the U.S. in accordance with the Export Administration Regulations. Diversion contrary to U.S. Law is prohibited. All duties and taxes will be the responsibility of the customer. Orders shipped outside of the U.S. are subject to a $200.00 minimum order. The international customer must select their preferred fright carrier (DHL, Fed Ex or UPS) and provide their approved freight account number for the selected freight carrier. Prepay and add freight charges are not accepted.

Minimum Orders

A minimum order of $100.00 for domestic shipments within the United States and a minimum order of $200.00 for international shipments outside of the United States apply to all orders.

Non-Listed Items

Merchandise not listed on the TLC’s web site and available from our franchised suppliers, may be subject to minimum order quantities and/or special handling charges. Special order products are sold on a non-cancelable, non-returnable basis. All custom assembled products are non-cancelable, non-returnable.

Shipment Method

Shipments are F.O.B. St. Paul, MN 55115, unless special, written terms are agreed upon by an authorized TLC Electronics representative. The customer is responsible for selecting their desired freight carrier and providing their approved freight account number. All duties, taxes and fees are the responsibility of the customer.

Shipment Damage

Merchandise is carefully packed in compliance with carrier requirements. Claims for loss or damage in transit must be made with the carrier by the customer. All shipments should be unpacked and inspected immediately upon receipt. If damage does not become apparent until shipment is unpacked, make a request for inspection by the carrier's agent. Failure to do this may result in the carrier refusing to honor the claim.

Order Changes, Cancellations and Returns

Purchase orders, after acceptance, are binding contracts and may not be altered or amended without mutual agreement and acceptance by the customer and TLC.

Requests for changes in delivery schedules, quantities or other aspects of orders are subject to acceptance by TLC. TLC will make every effort to accommodate such requests but reserves the right to refuse any such requests. All custom products are considered non-cancellable and non-returnable.

If the manufacturer or supplier of the material will accept cancellation and/or return of material for credit, TLC will consider this option. The customer will be responsible for all charges including but not limited to the supplier's cancellation charges and TLC’s handling charge of 20% of the total of the value of the cancelled material.

Returning Product

All returns for any reason must be pre-approved by an authorized TLC representative. Returned material shipped to TLC without a Returned Material Authorization (RMA) number may be refused. Replacements or credit will be issued at TLC’s discretion. Returns are subject to inspection prior to credit or a replacement order is processed. Merchandise returned for replacement or credit must be in the original packaging and in resalable condition. Replacement or credit will not be allowed for returned material damaged in transit due to inadequate packaging by the customer.

Errors and Omissions

TLC makes every effort to ensure the accuracy of the information published on our web site. The specific product information contained herein is provided by the manufacturers of the products who are solely responsible for content and accuracy. In some cases, the graphical representations or text may contain technical inaccuracies or typographical errors. TLC makes no representation about the information and graphics presented. All text and graphical representations are provided "as-is" without warranty of any kind, expressed, written or implied.

Force Majeure – TLC will not be held liable for delays in delivery or for failure to perform its obligations due to causes beyond the reasonable control of TLC or our suppliers, including but not limited to product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, government priorities, fire, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots, or war. TLC’s time for delivery or performance will be extended by the period of such delay or TLC may, at its option, cancel any order or remaining part thereof without liability by giving notice to the Customer.

Warranty & Disclaimer

TLC does not control the use of the products sold and therefore provides no express warranties that extend beyond the description contained herein. TLC disclaims any implied warranties of merchantability or of fitness for any particular purpose. Since TLC cannot control the manner or use of its product after the sale, it will not be responsible for any consequential or indirect damages. TLC is acting as a distributor of products manufactured by other companies. TLC expressly limits its liabilities to any guarantees/warranties extended by the manufacturer. TLC will pass the manufacturer guarantees/warranties through to the customer. No warranty will apply if its products are in any way altered or modified after delivery.

Conflict Minerals Policy (Dodd-Frank Act)

BACKGROUND/INTRODUCTION
The United Nations Group of Experts on the Democratic Republic of the Congo (DRC) found that the trade of certain minerals (Tantalum, Tin, Tungsten and Gold) called Conflict Minerals (3TG), is helping to finance civil conflict in the DRC.
In July 2010 the United States passed HR4173, the Dodd-Frank Wall Street Reform & Consumer Protection Act containing section 1502 requiring all companies subject to SEC reporting requirements to disclose the chain of custody usage of Conflict Minerals.

POLICY STATEMENT
A. TLC Electronics expects our Customers Designated Design Authority in control of the “Qualified Manufacturer’s List” or “Approved Manufacturers List” associated with the Bill of Materials to provide TLC Electronics with a defined source of material(s) from socially responsible manufacturers who comply with the Dodd-Frank regulation. The Designated Design Authority for the customer shall provide to the customer all the necessary declarations in support of their design.

B. For TLC Electronics sourced manufacturers, we require the following:
1. The manufacturer/supplier shall perform due diligence and country of origin inquiries to provide certification that these components and supplies either do not contain DRC Conflict Minerals or are “DRC Conflict Undeterminable”.
2. Suppliers must pass this requirement on to their supply chain as necessary to perform due diligence and determine country of origin for the conflict minerals.
3. Manufacturers who are non-compliant to these requirements shall be restricted from future business.
4. Upon request, TLC Electronics shall provide customers a certificate of due diligence for TLC Electronics sourced manufacturers.

Fraud

Anyone attempting to commit fraud or any other criminal act through or gain access to TLC’s web site or other systems will be prosecuted to the fullest extent of the law.
